The brief

Tees Valley Combined Authority (the 'Contracting Authority') part of the Tees Valley Combined Authority Group have procured consultancy support to conduct a feasibility study around the usage / construction of an IoT network across the Tees Valley Region.

This contract will be delivered in multiple phases.

Phase 1 is a feasibility study to understand whether TVCA should invest in using or building an IoT network across the region.

Should the feasibility study recommend that TVCA should invest in this, additional phases may be required under this contract including use case identification and design, procurement support, deployment support and benefits evaluation and monitoring.

These additional phases are not guaranteed and are dependent on: a) TVCA internal approval to proceed including budget approval; b) the strategic decision to invest in an IoT network; and c) satisfactory Provider performance in Phase 1.

If the above conditions are fulfilled, TVCA reserves the right to instruct the Provider to deliver some or all of the additional phases through a permitted contract modification under the Procurement Act 2023.

This may be undertaken using an ‘permitted modification’ in accordance with Section 74 and Schedule 8 of the Act, where the modification is provided for in the Contract.

This Contract therefore includes an express provision enabling TVCA to introduce additional phases via a Contract Variation, provided that: – the nature of the additional phases falls within the high-level scope described in this Specification; – the procurement documents clearly state the maximum potential contract value inclusive of all phases; and – the modification does not alter the overall nature of the Contract beyond what was originally described.

Any additional phases instructed under this mechanism will be formalised through a written Variation Letter, specifying the detailed scope, deliverables, timelines, pricing and social value.

Pricing for additional phases will be agreed with the Provider following finalisation of the scope but prior to issuing the Variation Letter and will be based on the methodology and day rates submitted at tender stage.

TVCA is not obliged to instruct the Provider to undertake any work beyond Phase 1.

Phase 1 maximum value: £62,440 Maximum contract value if all phases are delivered under this Contract: £150,000
